In connection with a new consulting agreement with the Company, the reporting person received a grant of shares of Restricted Stock Units ("RSUs") that represent a contingent right to receive one share of the Company's common stock pursuant to the Differential Brands Group Inc. 2016 Stock Incentive Plan (the "Plan", as amended. The RSUs vest in equal installments on October 29, 2019 and October 29, 2020.
