Explanation of Responses:
(1)	These securities are owned directly by clients of Kingdon Capital Management, L.L.C. ("Kingdon Capital") and may be deemed to be indirectly beneficially owned by Kingdon Capital and Mark Kingdon, the managing member of Kingdon Capital.

Remarks: Solely for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, Kingdon Capital and Mr. Kingdon were each previously deemed to be a director-by-deputization by virtue of Christopher Morgan, an analyst at Kingdon Capital, serving on the board of directors of the issuer. As reported on the issuer's Form 8K filed on July 22, 2019, Christopher Morgan has resigned from the issuer's board of directors. Accordingly, neither Kingdon Capital nor Mr. Kingdon continues to be a director-by-deputization. Each Reporting Person disclaims beneficial ownership in the securities reported on this Form 4 except to the extent of its or his pecuniary interest, if any, therein, and this report shall not be deemed to be an admission that such Reporting Person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
