Other Events.

On May 9, 2013, the Company issued a press release announcing that its Board of Directors declared a dividend of $0.05 per share on its common stock. This dividend is payable July 1, 2013 to shareholders of record at the close of business on June 14, 2013. A copy of the press release is attached hereto as Exhibit 99.1.
