State below in reasonable detail the reasons why the Form 10-K and Form 10-KSB, 20-F, 11-K, 10-Q and Form 10-QSB, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.  (Attach Extra Sheets if Needed) 

 

The Company’s previously announced reduction in force impacted the Company’s financial and accounting team.  In addition, the finance and accounting team has been significantly involved with the investment banker hired to look at strategic alternatives.  As a result the Company is unable to file its Form 10-QSB within the prescribed period without unreasonable effort and expense.

While the Company is diligently addressing these issues and continues to pursue strategic alternatives, it does not expect that the filing of its Form 10-QSB will be made within the time period specified in Rule 12b-25.
