Explanation of Responses:
(1)	The option is exercisable in 48 equal monthly installments after March 4, 2015 provided the reporting person remains in continuous service on each vesting date.
(2)	The option is exercisable in 48 equal monthly installments after February 1, 2016 provided the reporting person remains in continuous service on each vesting date.
(3)	These RSUs vest quarterly over a four year period, with the first quarterly vesting to occur on June 20, 2017. Vested shares will be delivered to the reporting person upon vest date. Unless otherwise provided, on each vest date shares of common stock will automatically be sold to satisfy the reporting person's tax withholding obligations in a non-discretionary transaction.
