On August 12, 2012, it was announced that Comverse and Verint have entered into a definitive agreement pursuant to which Verint will acquire Comverse.  Under the agreement, Verint will issue to Comverse's shareholders approximately 27.5 million new Verint common shares, plus up to an additional $25 million in Verint common shares.
