Explanation of Responses:
( 1)	Represents shares of restricted stock awarded on 02/11/2008, which will vest in three equal annual installments beginning on February 11, 2009 and ending on February 11, 2011.
( 2)	Represents the right to receive value equivalent to 34,970 shares of Centennial Bank Holdings, Inc. (CBHI) common stock under the CBHI Deferred Compensation Plan (Plan), settlable in shares of CBHI common stock. In 2007, 25,000 shares were distributed out of the Plan to the reporting person's ex-wife pursuant to a domestic relations order. The reporting person no longer reports as beneficially owned any securities owned by his ex-wife.

Remarks: On 8/11/2005, reporting person was granted 75,000 shares of restricted stock pursuant to the issuer's Amended and Restated 2005 Stock Incentive Plan, with said shares vesting upon the issuer achieving certain performance measures as set forth in an agreement with the reporting person.
