Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 23, 2018, Mr. Kenneth D. Sacks notified Baldwin & Lyons, Inc. (the "Company") of his resignation from the Company's Board of Directors, effective immediately.   Mr. Sacks, age 53, has served on the Company's Board of Directors s ince 2007 and, at the time of his resignation, was serving as Chairman of the Compensation Committee of the Board of Directors.  Mr. Sacks has not resigned because of a disagreement with the Company on any matter relating to the Company's operations, policies or practices.
