Item 8.01.                      Other Events.

On August 16, 2011, the Board of Directors of Britton & Koontz Capital Corporation (the “Company”) declared a quarterly cash dividend on its common stock of $.18 per share, payable on September 15, 2011, to shareholders of record at the close of business on August 31, 2011.  On August 17, 2011, the Company issued a press release announcing the declaration of the quarterly cash dividend.  The press release is attached hereto as Exhibit 99.1.
