Item 5. 02(e) Compensatory Arrangement of Certain Officers .

On January 29, 2010, Beach First National Bancshares, Inc. (the “Company”) and Beach First National Bank (the “Bank”) provided written notice to Walter E. Standish, III that his employment agreement would not automatically renew following the end of its current term on March 1, 2010. The notice to Mr. Standish confirmed that it was not notice of termination of his employment and that he would continue to serve at the will of the Board of Directors without a written employment agreement. Mr. Standish’s employment agreement was dated December 15, 2008, and filed on March 31, 2009, with the SEC as Exhibit 10.11 to the Company’s Annual Report on Form 10-K.
