Item 2.02    Results of Operations and Financial Condition

On September 29, 2022, Bed Bath & Beyond Inc. (the “Company”) issued a press release announcing the Company’s financial results for its fiscal second quarter ended August 27, 2022. A copy of this press release is attached hereto as Exhibit 99.1.

Item 7.01    Regulation FD Disclosure

    On September 29, 2022, the Company published an Investor Presentation for its fiscal second quarter ended August 27, 2022 as noted in the press release described in Item 2.02 above. The Investor Presentation is attached hereto as Exhibit 99.2.
