Explanation of Responses:
(1)	This grant was for 2,683 restricted stock units, each representing the right to receive one share of the Company's common stock, which will vest in equal installments on each of September 17, 2021, December 17, 2021, March 17, 2022, and June 17, 2022.
(2)	Following the transactions reported on this Form 4, Mr. Kelly held (a) 20,213 shares of the Company's common stock and (b) 2,683 restricted stock units, each representing the right to receive one share of the Company's common stock.
(3)	Mr. Kelly disclaims beneficial ownership of the Company's common stock held by ASAC TJKS LLC except to the extent of his pecuniary interest therein.
(4)	Mr. Kelly and Robert A. Kotick are the managers of ASAC II LLC. Mr. Kelly disclaims beneficial ownership of the Company's common stock held by ASAC II LLC except to the extent of his pecuniary interest therein.
(5)	Reflects shares of the Company's common stock indirectly owned through Demonte Investments, LLC of which Mr. Kelly is a member and manager.
