Explanation of Responses:
( 1)	This grant was for 120,044 performance-vesting restricted stock units, each representing the right to receive one share of the Company's common stock. The number assumes maximum performance; target performance would result in a release of 96,035 shares of the Company's common stock. Three quarters of the restricted stock units vest on May 30, 2019, with one quarter based upon the level of performance measured by reference to the Company's operating income for 2016, one based on 2017 and one based on 2018; one quarter of the restricted stock units vest on May 30, 2020, based upon the level of performance measured by reference to the Company's operating income for 2019.
( 2)	Following the transactions reported on this Form 4, Mr. Stolz holds 120,044 performance-vesting restricted stock units, each representing the right to receive one share of the Company's common stock.
( 3)	Three-quarters of these options vest on May 30, 2019 and one-quarter vests on May 30, 2020.
