Item 2.02 Results of Operations and Financial Condition

 

On October 31, 2011, ASB Bancorp, Inc. (the “Company”), the holding company for Asheville Savings Bank, S.S.B. (the “Bank”), issued a news release announcing the Bank’s financial results for the three- and nine-month periods ended September 30, 2011. A copy of the news release is included as Exhibit 99.1 to this report and is furnished herewith.

 

The Company was incorporated on May 12, 2011 by the Bank to be the Bank’s holding company upon completion of the Bank’s conversion from the mutual to stock form of organization. The conversion was completed on October 11, 2011 and the Company acquired all of the Bank’s outstanding capital stock on that date. As of September 30, 2011, the Company was not an operating company and, therefore, the information presented in this report is on a consolidated basis for the Bank.
