EXPLANATORY NOTE

Allos Therapeutics, Inc. (the “ Company ”) filed a Registration Statement on Form S-8 (No. 333-160680) (the “ Registration Statement ”) with the Securities and Exchange Commission on July 20, 2009. On September 5, 2012 , pursuant to that certain Agreement and Plan of Merger, dated as of April 4, 2012, by and among Spectrum Pharmaceuticals, Inc., a Delaware corporation (“ Parent ”), Sapphire Acquisition Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent, and the Company, the Company became a wholly owned subsidiary of Parent. As a result of the transactions contemplated thereby, the Company has terminated all offerings of the Company’s securities pursuant to the Registration Statement.

This Post-Effective Amendment to the Registration Statement is being filed to deregister, as of the effectiveness of this post-effective amendment, all unsold shares of common stock, par value $.001 per share, including related rights to purchase Series A Junior Participating Preferred Stock, the sale of which was registered under the Registration Statement.
