Explanation of Responses:
(1)	The shares of Common Stock are to be acquired upon the vesting of certain Restricted Stock Units granted to the Reporting Person. The Restricted Stock Units shall vest as follows: 1/4th on each of 11/1/20, 11/1/21, 11/1/22 and 11/1/23, subject to Reporting Person's Continuous Service as of each such date.
(2)	The Option shares shall vest as follows: 1/48th of the option shares shall vest on December 1, 2019 and 1/48th shall vest monthly thereafter, subject to Reporting Person's Continuous Service as of each such date.
