Item 2.02 Results of Operations and Financial Condition.

On November 2, 2022, Proterra Inc (“Proterra”) issued a quarterly letter regarding Proterra’s financial results for its third fiscal quarter ended September 30, 2022 and business updates. A copy of Proterra’s quarterly letter is attached hereto as Exhibit 99.1.
