Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

After approximately seven years of service on the Arctic Cat Inc. (the “Company”) Board of Directors (the “Board”), D. Christian Koch notified the Chairman of the Board on April 15, 2016 that he is resigning from the Board effective immediately. Mr. Koch was formerly the Lead Director, Chair of the Compensation and Human Resources Committee and a member of the Audit Committee of the Board. His resignation is not the result of any disagreements with the Company.
