Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of American Physicians Capital, Inc. (“APCapital” or the “Company”) (NASDAQ:ACAP), a medical professional liability insurer, related to the Company’s agreement to be acquired by The Doctors Company, a national insurer of physician and surgeon medical liability. The proposed cash transaction is valued at approximately $386 million.
Under the terms of the definitive agreement entered into by the parties, The Doctors Company will acquire APCapital for $41.50 per share in cash. Upon completion of the transaction, APCapital will become a wholly owned subsidiary of The Doctors Company. The transaction is expected to close in the fourth quarter of 2010. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by APCapital’s board of directors.
