William Sinclair Holdings plc ("William Sinclair")

Result of Extraordinary General Meeting

On 4 March 2003 William Sinclair announced that it intended to return up to
#3.84 million in cash to shareholders by way of a tender offer ('Tender Offer')
by Arbuthnot Securities Limited ('Arbuthnot').

The Board of William Sinclair is pleased to announce that at the Extraordinary
General Meeting of William Sinclair held today, shareholders approved the
ordinary resolution authorising the proposed purchase by William Sinclair of its
own shares.

William Sinclair has accordingly been given authority to purchase from Arbuthnot
up to 6,095,000 ordinary shares of 25p each in the capital of William Sinclair
(representing approximately 26.91 per cent. of William Sinclair's issued
ordinary share capital) pursuant to the Tender Offer. The latest time and date
for receipt of tender forms is 3.00p.m. on 25 March 2003. The result of the
Tender Offer will be announced on Wednesday, 26 March 2003.

A copy of the resolution dated 20 March 2003 has been submitted to the UK
Listing Authority and will shortly be available for inspection at the UK Listing
Authority's Document Viewing Facility which is situated at:-
