William Sinclair Holdings plc ("Company") - Directors shareholdings


The Company announced a tender offer for 6,095,000 Ordinary shares at 63p per
share on 4 March 2003. The Directors did not tender any of their shares under
the tender offer. Following the completion of the tender offer on 26 March 2003
their shareholdings remain the same. However the percentage of their holdings of
the issued share capital of the Company have changed and the directors current
shareholdings are as follows:

over which he holds a joint power of attorney for Noguer Investments S.A.
