                    Resignation and appointment of directors



The Board of Directors of Sherwood wishes to announce the resignation as
directors of Sherwood of each of Ken Andrew, Stuart Drew, Robert Youngjohns and
Mike Shinya, with effect from 15 August, 2003. Sherwood is pleased to announce
the appointment of Michael Ruane, David Robinson, Gavin Lavelle, Joy Brown,
Lawrence Gross and Ray Davis as executive directors also with effect from 15
August, 2003.

In connection with those appointments, there are no details that require to be
disclosed by paragraphs 16.4(a) or 6.F.2 (b) to (g) of the Listing Rules of the
UK Listing Authority, save that Michael Ruane, Lawrence Gross and Joy Brown were
appointed as directors of Guardian iT plc on 2 July, 2002. Joy Brown and
Lawrence Gross resigned from the board of Guardian iT plc on 25 July, 2002.
Michael Ruane remains a director of Guardian iT plc, but Guardian iT plc was
re-registered as a private company on 18 March, 2003, and is now called Guardian
iT Limited.

The Board changes are made as a result of the recent takeover offer for Sherwood
by SunGard Insurance Services Limited, a wholly owned subsidiary of SunGard Data
Systems Inc, which was declared unconditional in all respects on 11 August,
2003. Application has been made for the cancellation of Sherwood's listing on
the Official List of the UK Listing Authority and for the cancellation of the
admission to trading of Sherwood shares on the London Stock Exchange's market
for listed securities. It is anticipated that cancellation of the listing and
admission to trading will take effect on 8 September, 2003.
