PARIS (Agefi-Dow Jones)--La société de services informatiques Sopra Steria a annoncé mardi avoir conclu un protocole d'accord pour le rachat de son concurrent néerlandais Ordina, pour un montant de 518 millions d'euros.
La transaction prendra la forme d'une offre publique d'achat (OPA) amicale visant 100% des actions Ordina, cotées à la Bourse d'Amsterdam, au prix unitaire de 5,75 euros, dividende détaché. Ce prix représente une prime de 36% par rapport au cours de clôture d'Ordina le 14 mars.
L'OPA que s'apprête à lancer Sopra Steria a reçu le soutien unanime du conseil d'administration d'Ordina. Des actionnaires du groupe néerlandais détenant 27% du capital se sont par ailleurs engagés à apporter leurs titres à l'offre.
Sopra Steria et Ordina estiment que l'OPA sera bouclée au second semestre.
