Loan Agreement with Tele-Fonika Kable S.A.

Management Board of Bank Polska Kasa Opieki S.A. with registered office in
Warsaw informs that on 24th December, 2003 Bank Pekao SA together with three
other domestic banks signed dual currency credit facility agreement with
Tele-Fonika Kable S.A. with registered office in Myslenice, upon which there
will be granted loan for a maximum amount of EUR 130,00 mln (one hundred thirty
million euro) and PLN 850,00 mln (eight hundred fifty million zloty)
According to the credit facility agreement the loan shall be repaid in the
period from 3 to 10 years.

The first drawing of the loan will take place before 15th of March, 2004.
The credit facility shall be used to refinance existing loan granted to
Tele-Fonika Kable S.A. on the basis of the syndicated credit facility agreement
of 19th June, 2002 signed among others, by Bank Polska Kasa Opieki S.A.

The share of Bank Pekao S.A. in the granted credit facility of 24th December,
2003 will not exceed the exposure resulting from syndicated credit facility
agreement of 19th June, 2002, i.e. the equivalent of the sum of EUR 123.50 mln
(one hundred twenty three million five hundred thousand euro) and CHF 162,10 mln
(one hundred sixty two million one hundred thousand Swiss franks).
