                      SALE OF TOWER 42 FOR #1.725 MILLION


As part of the ongoing restructuring and debt reduction programme, the board of
Topnotch announces today that it has disposed of its health club in Old Broad
St, City of London for a gross consideration of #1.725 million. After
transferring liabilities the total cash consideration payable to Topnotch is
approximately #1.3 million.  The funds will be used to reduce debt.


Net assets disposed of represent approximately #1.527 million and the operating
profit attributable to the club before allocation of certain central costs was
#35,082 for the year ended 30th April 2002.



Following the disposal Topnotch has an estate of 12 health clubs.
