                              OASIS HEALTHCARE PLC

                                ISSUE OF EQUITY


Oasis Healthcare Plc ("the Company") announces that following the offer for The
Dencare Management Group Limited ("Dencare") being declared unconditional in all
respects, the Company has now acquired the entire issued shares capital of
Dencare.  As a result, an additional 765,700 new ordinary shares in Oasis
Healthcare have been issued to the Dencare shareholders that had not previously
accepted the offer.

These shares will rank pari passu with all other ordinary shares now in issue.
Application for these shares to be admitted to trading on AIM has been made and
admission is expected to occur on 14 March 2003.

Following admission, the enlarged issued share capital of the Company will be
81,646,122.
