The Company issued on the 13 May 2003, 511,249 ordinary shares of 25p each ("New
Ordinary Shares") to employees of the group pursuant to the employee retention
arrangements in connection with the acquisition of IMR Europe which were
described in the circular to shareholders dated 28 November 2000.

Application has been made for the New Ordinary Shares to be admitted to the

Official List of the UK Listing Authority and to be admitted to trading on the

London Stock Exchange. It is expected that admission of the New Ordinary Shares

to the Official List of the UK Listing Authority and to trading on the London

Stock Exchange will become effective on 19 May 2003.
