Headway PLC ('Headway' or the 'Company')

Headway was informed on 4 July 2003 that, following the purchase of 450,000
ordinary shares of 5p each in the Company representing 2.77% of the issued share
capital of the Company, Country & Metropolitan PLC now holds 1,390,000 ordinary
shares of 5p each representing 8.56% of the issued share capital of the Company.



Fleet Property Limited, a wholly owned subsidiary of Allied Commercial Exporters
Limited, has also purchased 450,000 ordinary shares of 5p each in the Company
and now holds 1,350,000 ordinary shares of 5p each in the Company representing
8.31% of the issued share capital of the Company.



In addition to Country & Metropolitan PLC's beneficial interest of 1,390,000
ordinary shares of 5p each in the Company, it has a further interest in
1,350,000 ordinary shares of 5p each in the Company which arises as a result of
it being a party to an agreement with Allied Commercial Exporters Limited,
Bowater House, 11 Knightsbridge, London SW1X 7LT to which Section 204 of the
Companies Act 1985 relates.



As a result of the above, Country & Metropolitan PLC's total interest in the
Company is 2,740,000 ordinary shares of 5p each representing 16.87% of the
issued share capital of the Company.
