The Company was informed today that Mr S. D. Wicks & Mrs J. Wicks have jointly
sold 51,200 ordinary shares in the Company at a price of 125p per share in order
that 51,200 ordinary shares in the Company can be purchased by Mr S. D. Wicks'
pension fund at a price of 125p per share.

Mr S. D. Wicks has also exercised share options in accordance with the Rules of
the Country & Metropolitan Group PLC 1999 Approved Share Option Scheme to
acquire 38,400 ordinary shares in the Company at an exercise price of 64.55p per
share. Application has today been made for the admission of 38,400 new ordinary
shares in the Company to trading on the Official List of the London Stock
Exchange. Application has also been made to the UK Listing Authority for the
shares to be admitted to listing. Dealings in the new ordinary shares are
expected to commence on 1 August 2003.

Mr S. D. Wicks is now beneficially interested in 2,558,400 ordinary shares
representing 13.51% of the enlarged issued share capital in the Company.
