RESULT OF EGM



At the Company's EGM held today the resolutions, as detailed in the circular to
shareholders dated 28 October 2003, were duly passed.

The Company is pleased to announce that approximately #1.88 million (before
expenses) has been successfully raised in connection with the Placing and Open
Offer.  Valid applications have been received for 63,498,944 Open Offer Shares
made available to Shareholders. Excess applications were satisfied in full.
Consequently, and taking into account the underwriting arrangement with Seymour
Pierce Ellis, a total of 65,000,000 Open Offer Shares have been conditionally
issued, raising approximately #650,000 for the Company.

In addition, 123,200,000 Placing Shares have been conditionally issued in
connection with the Placing to institutional and other investors by Teather &
Greenwood Limited. Such Placing will raise #1.23 million for the Company.

The Placing and the Open Offer remains conditional on admission of the New
Ordinary Shares to trading on the Alternative Investment Market of the London
Stock Exchange.

The New Ordinary Shares to be issued pursuant to the Placing and Open Offer are
expected to commence trading on 26 November 2003.
