Directors Dealings and Placing



Following the completion of the placing and open offer the Company announces the
following changes in shareholdings by the directors of the Company (the "
Directors"):

The Company also announces that it has raised #150,000 through a placing for
cash with institutional and other investors.  The placing is for 15,000,000 new
ordinary shares at a price of 1p per new ordinary share.  The funds raised are
intended to satisfy additional demand subsequent to the open offer and to
provide additional working capital for the Company to enhance the roll out of
the Republic Deli brand.



Application has today been made for 15,000,000 new ordinary shares to be
admitted to trading on the Alternative Investment Market of the London Stock
Exchange pursuant to the placing.  The new shares will rank pari passu with the
existing ordinary shares in the Company, and trading is expected to commence on
1 December 2003.
