San Donato Milanese (Milano), 5 febbraio 2016 ­ Il Supplemento al Documento di Registrazione, alla Nota Informativa e alla Nota di Sintesi è stato depositato presso Consob in data 5 febbraio 2016, a seguito di comunicazione del provvedimento di approvazione con nota del 5 febbraio 2016, protocollo n. 0010333/16 (il "Supplemento"). L'adempimento di pubblicazione del Supplemento non comporta alcun giudizio della Consob sull'opportunità dell'investimento proposto e sul merito dei dati e delle notizie allo stesso relativi. I termini utilizzati nel presente avviso con lettera maiuscola non espressamente definiti sono utilizzati con il medesimo significato ad essi rispettivamente attribuito nel Supplemento e nel Documento di Registrazione, nella Nota Informativa e nella Nota di Sintesi. Ai sensi dell'art. 95-bis, comma 2, del D. Lgs. n. 58/1998, si informano gli investitori che abbiano concordato di sottoscrivere le Azioni, nel periodo compreso tra il 25 gennaio 2016 (incluso) e la data di pubblicazione del Supplemento (inclusa), che gli stessi hanno diritto di revocare la loro accettazione entro due giorni lavorativi dalla data di pubblicazione del Supplemento (i.e. entro il 9 febbraio 2016). Il Supplemento contiene l'aggiornamento e l'integrazione delle informazioni contenute nel Documento di Registrazione, nella Nota Informativa e nella Nota di Sintesi riguardanti: 1. la stima dell'Ebitda Underlying atteso per il 2015 indicata in Euro 1,2 miliardi; 2. il perfezionamento della Cessione da parte di Eni a FSI di una partecipazione pari al 12,503% del capitale ordinario di Saipem, avvenuto in data 22 gennaio 2016;


3. i procedimenti giudiziari connessi ad alcune attività del Gruppo Saipem in Algeria, in relazione all'udienza presso il Tribunale di Milano del 25 gennaio 2016 e all'udienza presso il Tribunale di Algeri del 2 febbraio 2016; 4. l'avvio da parte di Standard & Poor's della procedura di "CreditWatch" con possibili implicazioni negative per il preliminary credit rating BBB- della Società. Il Supplemento è stato predisposto ai sensi degli articoli 94, comma 7, 95-bis, comma 2 e 113, comma 2, del D. Lgs. n. 58/1998 e degli articoli 8, comma 6, e 53, comma 3, del Regolamento CONSOB n. 11971/1999. Il Supplemento è stato pubblicato in data 5 febbraio 2016 ed è disponibile presso la sede legale della Società, in San Donato Milanese (Milano), Via Martiri di Cefalonia n. 67, nonché sul sito internet di Saipem www.saipem.com.

San Donato Milanese (Milan), February 5, 2016 ­ The Supplement to the Registration Document to the Information Note and to the Summary Note, filed with Consob on 5 February 2016 upon notice of approval with note 5 February 2016, protocol No. 0010333/16 (the "Supplement"). Publication of the Supplement does not imply any judgment by Consob on the proposed investment or the merits of the data and information relating thereto. The capital terms used in this notice which are not explicitly defined are used with the same meaning assigned to them in the Supplement, in the Registration Document, in the Information Note and in the Summary Note. In accordance with Art. 95-bis, paragraph 2, of Italian Legislative Decree No. 58/1998, we hereby inform any investors who have agreed to subscribe the Shares, in the period running from 25 January 2016 (included) to the date on which the Supplement is published (included), that they have the right to withdraw their acceptance within two working days of the date on which the Supplement is published (i.e. within 9 February 2016). The Supplement contains the update and the integration of the information contained in the Registration Document, the Information Note and the Summary Note regarding: i. ii. the expected 2015 Ebitda Underlying, of 1.2 billion of Euros; the closing of the Sale of a stake of 12.503% of the ordinary share capital of Saipem held by Eni to FSI on 22 January 2016;

the judicial proceedings connected to some activities of the Saipem Group in Algeria in relation to

the judicial hearing before the Court of Milan on 25 January 2016 and the judicial hearing before the Court of Algeri on 2 February 2016; iv. the beginning of a "CreditWatch" procedure by Standard & Poor's with possible negative

consequences on the preliminary credit rating BBB- assigned to the Company. The Supplement is drafted pursuant to Art. 94, paragraph 7, Art. 95-bis, paragraph 2 and Art. 113, paragraph. 2, of the Italian Legislative Decree No. 58/1998, and Art. 8, paragraph 6 and Art. 53, paragraph 3 of the Regulation approved by Consob resolution No.11971/1999.
