                            Directors' Shareholding


The Company was informed on 11 November 2003 that Water Lane Trustees Limited
("the Trust") distributed 84,907 ordinary shares of 12.5p each in Radstone
Technology PLC ("Ordinary Shares") to certain current and past employees,
including directors of the Company on 11 November 2003. The shares held by the
trust represent part of the bonuses earned by senior executives of the Company
in prior years which are converted into Ordinary Shares and are then held in the
Trust on the employees' behalf for a period of 3 years.


In addition to, and at the same time as, the distribution, the Trust disposed of
29,620 Ordinary Shares at #3.43 per share in order to meet the current tax and
national insurance liabilities of the beneficiaries of the Trust.


Consequently the shareholdings of the Trust and the directors of the Company who
received shares from the Trust are as follows:
