        Update on possible offer by Brit Insurance Holdings plc ("Brit")


The Board of PRI Group plc ("the Board") is considering the approach from Brit.
The Board recognises the benefits which could accrue from a combination of PRI
with a strategically compatible business.  The objective of the Board is to
identify the most suitable combination which maximises value for PRI's
shareholders

The Board is clear that this process must be concluded quickly and, to that end,
has instructed its advisers to pursue discussions with Brit as well as with
other potential parties.

In the meantime, shareholders are urged to take no action.
