                 Notification of Directors' Interests in Shares



On 5 September 2003, the executive directors of Intercare were granted options
under The Intercare Group plc Non-Approved Share Option Scheme.  Although
details of these options were set out in the offer document sent to Intercare's
shareholders on 1 November 2003, due to an administrative oversight, the
relevant details relating to these option grants were not announced in September
2003 in the usual way.  This announcement sets out the relevant details relating
to these option grants.



John Parker, Andrew Kay and Jeremy Earnshaw were granted options over 141,361,
361,256 and 91,623 new Intercare ordinary shares of 2.5 pence each respectively,
exercisable between 5 September 2006 and 5 September 2013 at 191p per share.  No
consideration was paid for the grant of any of these options.  Following these
option grants, John Parker, Andrew Kay and Jeremy Earnshaw held options over
445,854, 361,256 and 247,258 Intercare ordinary shares respectively.  In
addition, John Parker, Andrew Kay and Jeremy Earnshaw were interested in
102,878, 11,000 and 1,833 issued Intercare ordinary shares respectively,
representing approximately 0.1%, 0.01% and 0.002% respectively of the then
issued Intercare ordinary shares.
