                            RESIGNATION OF DIRECTOR

East Surrey Holdings plc, the water and gas utility group, announces the
resignation today of Duncan Saville from its Board as a non-executive Director.
Duncan Saville joined the Board in 1989.

Pat Barrett, Chairman of East Surrey commented:

" We are sad to lose Duncan from the Board where his knowledge as a major
investor in the utility sector worldwide has been of significant value. During
his time on the Board Duncan has provided support and advice on a number of
development initiatives. This was once again demonstrated during the recent
acquisition of the remaining 75.5% of Phoenix Natural Gas.

" Since Duncan moved his home to Australia, the practicalities of being on our
Board have become increasingly difficult for him. On behalf of our Board and
employees, I would like to express our sincere thanks to Duncan for all his
advice and help over the years, and extend our best wishes for the future."
