GrafTech Announces the Pricing of Its Initial Public Offering

GrafTech International Ltd. (the “Company”) today announced the pricing of its initial public offering of 35,000,000 shares of its common stock. The shares have been offered by its sole stockholder, an affiliate of Brookfield Business Partners LP, a publicly listed business services and industrials company of Brookfield Asset Management Inc., at a price to the public of $15 per share. The shares will be listed on the New York Stock Exchange and will trade under the symbol “EAF” beginning April 19, 2018. The offering is expected to close on April 23, 2018, subject to customary closing conditions.

In connection with the offering, the selling stockholder has granted the underwriters a 30-day overallotment option of up to an additional 5,250,000 shares of common stock.

J.P. Morgan Securities LLC and Credit Suisse Securities (USA) LLC have acted as joint lead book running managers and as representatives of the underwriters for the offering; Citigroup Global Markets Inc., RBC Capital Markets, LLC and HSBC Securities (USA) Inc. have acted as joint book running managers for the offering; BMO Capital Markets Corp., BNP Paribas Securities Corp., CIBC Capital Markets, National Bank Financial Inc. and TD Securities (USA) LLC have acted as co-managers for the offering.
