Winton Financial Corporation Shareholders Approve Merger 


CINCINNATI, Dec. 3  /PRNewswire-FirstCall/ -- Winton Financial Corporation
(AMEX:WFI), parent company of The Winton Savings and Loan Co., Cincinnati,
Ohio, today reported that at the special meeting of the shareholders held on
December 3, 2004, the shareholders of Winton Financial Corporation adopted the
Agreement and Plan of Merger by and among WesBanco, Inc., WesBanco Bank, Inc.,
Winton Financial Corporation, and The Winton Savings and Loan Co., and approved
the merger of Winton Financial Corporation with and into WesBanco, Inc.  The
merger is expected to be effective in January 2005 subject to receipt of
regulatory approvals.
