Valley National Gases Announces the Appointment of Chief
Financial Officer 


WASHINGTON, Pa., Feb. 23  /PRNewswire-FirstCall/ -- Valley National Gases
Incorporated (AMEX:VLG) today announced the appointment of James P. Hart to the
position of Chief Financial Officer. Mr. Hart is assuming this position, in
addition to his duties as President. "After considerable deliberation and
discussion with our Board of Directors and Auditors, we have concluded that we
have, in Jim Hart, the skills to manage the responsibilities of the CFO
position. Jim's background includes substantial experience as a chief financial
officer with a public company," commented William A. Indelicato, Vice Chairman
and Chief Executive Officer.

Mr. Indelicato further commented, "We intend to add additional resources to the
corporate finance staff to provide us with financial management leadership and
project specific technical capabilities. This will assist us in completing the
documentation necessary to comply with section 404 of Sarbanes Oxley and
further strengthen our auditing and control activities. One of the factors

utilize the talents we have within the organization to meet our performance

activity support at the operating level rather than at the executive level.
