Mr. Catsimatidis may be deemed to indirectly beneficially own such securities by virtue of his being the sole stockholder of Red Apple Group, Inc., which in turn is the sole stockholder of United Acquisition Corp., which in turn is the sole stockholder of United Refining, Inc. Mr. Catsimatidis disclaims beneficial ownership of the securities owned by United Refining, Inc. except to the extent of his pecuniary interest therein.
