Item 1.01. Entry into a Material Definitive Agreement.

     On February 18, 2008, US Dataworks, Inc., a Nevada corporation (the “Company”), received a formal Purchase Order (the “Purchase Order”) from American Express Travel Related Services Company, Inc. pursuant to an amendment to that Master Agreement for Consulting Services, the execution of which was announced by the Company on August 30, 2005. Under the Purchase Order, the Company will provide certain software customization and development services for a maximum revenue of $3,044,000.00, plus up to an additional $150,000.00 for travel and expenses.
