  As a shareholder of SUEZ, to attend this meeting:


- If you hold registered shares, you need simply arrive with your entry card, obtained from CACEIS Corporate Trust.

- If you hold bearer shares, you must request the bank or financial institution that manages your share account to send your participation certificate request form to CACEIS Corporate Trust, at the latest three working days before the Shareholders' Meeting, i.e., on April 29, 2008 (record date). You may obtain the information documents together with the proxy or postal voting form from your financial intermediary as from April 16, 2008.

Please allow sufficient time to receive your entry card by mail at your home address before the Shareholders' Meeting. Otherwise, you may obtain the entry card directly from CACEIS Corporate Trust on the day of the Shareholders' Meeting.

The notice of meeting, agenda and proposed resolutions can be accessed on the Balo website (http://www.journal-officiel.gouv.fr/) as from Wednesday, March 19, 2008.
