Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 29, 2011, the Compensation Committee of the Board of Directors of Procera Networks, Inc. authorized bonuses based on certain of the Company’s 2011 financial targets, as previously approved by the Board of Directors, of $173,521 to James Brear, President and Chief Executive Officer, and of $99,260 to Charles Constanti, Chief Financial Officer.
