Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 27, 2011, the Compensation Committee of the Board of Directors of Procera Networks, Inc. authorized bonuses based on certain of the Company’s 2010 financial targets, as previously approved by the Board of Directors, of $68,304 to James Brear, President and Chief Executive Officer, and of $41,677 to Charles Constanti, Chief Financial Officer.
