On May 30, 2008, Mr. Hirsch received a stock option award of 500,000 shares of Company common stock pursuant to the Amended and Restated 2002 Stock Option and Incentive Plan. Of these shares, 66,667 vested immediately and the remainder will vest in increments when the closing price of the Company's common stock reaches certain price levels as follows: 100,000 at $1.00 per share; 100,000 at $2.00 per share; 100,000 at $3.00 per share and 133,333 at $5.00 per share.
