GLOSSARY OF TERMS

Unless otherwise indicated in this prospectus supplement, natural gas volumes are stated at the legal pressure base of the state or geographic area in which the reserves are located at 60 degrees Fahrenheit. Crude oil and natural gas equivalents are determined using the ratio of six Mcf of natural gas to one barrel of crude oil, condensate or natural gas liquids.

The following definitions shall apply to the technical terms used in this prospectus supplement.

Terms used to describe quantities of crude oil and natural gas:

“Bbl.” One stock tank barrel, or 42 U.S. gallons liquid volume, used herein in reference to crude oil, condensate or NGLs.

“Boe.A barrel of oil equivalent and a standard convention used to express crude oil, NGL and natural gas volumes on a comparable crude oil equivalent basis. Gas equivalents are determined under the relative energy content method by using the ratio of 6.0 Mcf of natural gas to 1.0 Bbl of crude oil or NGL. Terms used to describe our interests in wells and acreage:

Basin.” A large natural depression on the earth’s surface in which sediments generally brought by water accumulate.

Completion.” The process of treating a drilled well followed by the installation of permanent equipment for the production of crude oil, NGLs, and/or natural gas.

Differential.” The difference between a benchmark price of crude oil and natural gas, such as the NYMEX crude oil spot price, and the wellhead price received.

Gross acres” or “Gross wells.” The total acres or wells, as the case may be, in which a working interest is owned.

OUR COMPANY

We are an independent energy company engaged in the acquisition, exploration, development and production of oil and natural gas properties in the United States, primarily in the Williston Basin, the Permian Basin and the Appalachian Basin. We believe the location, size and concentration of our acreage positions in some of North America’s leading unconventional oil and gas resource plays provide us with drilling and development opportunities that will result in significant long-term value.

Our primary focus is investing in non-operated minority working and mineral interests in oil and gas properties, with a core area of focus in three premier basins within the United States. As a non-operator, we are able to diversify our investment exposure by participating in a large number of gross wells, as well as entering into additional project areas by partnering with numerous experienced operating partners or pursuing value enhancing acquisitions. In addition, because we can generally elect to participate on a well by well basis, we believe we have increased flexibility in the timing and amount of our capital expenditures because we are not burdened with various contractual arrangements with respect to minimum drilling obligations. Further, we are able to avoid exploratory and infrastructure costs incurred by many oil and gas producers.

We seek to create value through strategic acquisitions and partnering with operators who have significant experience in developing and producing hydrocarbons in our core areas. We have more than 95 experienced operating partners that provide technical insights and opportunities for acquisitions. Across these operators, no single operator represented more than 14% of our first quarter 2023 oil and natural gas sales.

Prior to 2020, we focused our operations exclusively on oil-weighted properties in the Williston Basin. We first expanded beyond the Williston Basin in 2020, with several small acquisitions in the Permian Basin. In 2021 and 2022, we accelerated our diversification outside the Williston Basin via larger acquisitions, including the acquisition of significant producing natural gas properties in the Appalachian Basin and several acquisitions in the Permian Basin. We have also added to our legacy position in the Williston Basin via larger acquisitions. Our acquisition activity was a significant driver of our production growth from 71.3 MBoe/d in the first quarter of 2022 to 87.4 MBoe/d in the first quarter of 2023.

As of March 31, 2023, we leased approximately 181,179 net acres in the Williston Basin, approximately 59,153 net acres in the Appalachian Basin and approximately 19,558 net acres in the Permian Basin, and owned interests in approximately 7,568 gross (616.7 net) producing wells in the Williston Basin, approximately 367 gross (98.6 net) producing wells in the Appalachian Basin and approximately 928 gross (112.6 net) producing wells in the Permian Basin. For the three months ended March 31, 2023, our capital expenditures were split proportionately among the Williston Basin, the Permian Basin and the Appalachian Basin at 66%, 33% and 1%, respectively.

RECENT DEVELOPMENTS

Forge Acquisition

On May 11, 2023, we entered into a definitive agreement (the “Forge Purchase Agreement”) alongside a co-purchaser, Vital Energy, Inc., pursuant to which we and such co-purchaser agreed to acquire (the “Forge Acquisition”) certain oil and gas properties, interests and related assets located in the Delaware Basin (the “PSA Assets”). The PSA Assets will be owned by us and the co-purchaser jointly following the Forge Acquisition, with us owning an undivided 30% interest in the PSA Assets. The portion of the PSA Assets to be acquired by us are referred to herein as the “Forge Assets.”

Pursuant to the terms of the Forge Purchase Agreement, the consideration to be paid by us in the Forge Acquisition consists of $162 million in cash (the “Cash Consideration”), which accounts for our 30% pro rata share of the aggregate purchase price. The Forge Purchase Agreement contains customary representations and warranties, covenants and indemnification provisions and is subject to certain customary closing adjustments and termination provisions. The obligations of the parties to complete the transactions contemplated by the Forge Purchase Agreement are subject to the satisfaction or waiver of customary closing conditions.

The Forge Assets include an estimated 10,200 net acres located primarily in Ward and Reeves Counties, Texas, with approximately 3,400 Boe/d of recent production (two-stream, excluding NGLs, 79% oil), and an estimated 30.5 net producing wells, 2.3 net wells in process, and approximately 20 net undeveloped locations. Our capital expenditures for the Forge Assets over the next twelve months are expected to be approximately $38 million. We expect to finance the Cash Consideration for the Forge Acquisition with a portion of the net proceeds of this offering. The effective date for the transaction is March 1, 2023 and we expect to close the Forge Acquisition in late June 2023.

We cannot assure you that we will complete the Forge Acquisition on the terms contemplated or at all. Please read the “Risk Factors—Risks Related to the Forge Acquisition” section in this prospectus supplement for more information on the Forge Acquisition and the risks related thereto. This offering is not conditioned on the consummation of the Forge Acquisition, and the Forge Acquisition is not conditioned on the consummation of this offering. If the Forge Acquisition is not consummated, we intend to use the net proceeds from this offering for general corporate purposes, which may include the repayment of outstanding borrowings under our Revolving Credit Facility.

Notes Offering

On May 15, 2023, we closed a private offering of $500.0 million in aggregate principal amount of 8.750% senior notes due 2031 (the “2031 Notes” and, together with our 8.125% senior notes due 2028, the “Senior Notes”) at an offering price equal to 98.568% of par, plus accrued interest from May 15, 2023. We intend to use the net proceeds from the sale of the 2031 Notes for general corporate purposes, which may include the repayment of a portion of the outstanding borrowings under our Revolving Credit Facility.

Dividends

On February 6, 2023, our board of directors (our “Board”) declared a cash dividend on our common stock in the amount of $0.34 per share, representing a 13% increase from the prior quarterly dividend. The dividend was paid on April 28, 2023 to stockholders of record as of the close of business on March 30, 2023.

On May 1, 2023, our Board declared a cash dividend on our common stock in the amount of $0.37 per share, representing a 9% increase from the prior quarterly dividend. The dividend is payable on July 31, 2023 to stockholders of record as of the close of business on June 29, 2023.

We regularly evaluate additional acquisition opportunities and frequently engage in discussions with potential sellers. We are currently focused on pursuing acquisition opportunities that will further diversify our holdings outside of the Williston Basin and in particular opportunities in the Permian Basin, Appalachian Basin or other premier basins within the United States. Dividend Policy

On November 3, 2022, our Board declared a cash dividend on our common stock in the amount of $0.30 per share. The dividend was paid on January 31, 2023 to stockholders of record as of the close of business on December 29, 2022. On February 6, 2023, our Board declared a cash dividend on our common stock in the amount of $0.34 per share. The dividend was paid on April 28, 2023 to stockholders of record as of the close of business on March 30, 2023. On May 1, 2023, our Board declared a cash dividend on our common stock in the amount of $0.37 per share. U.S. Holders

A non-U.S. holder that wishes to claim the benefit of an applicable tax treaty withholding rate generally will be required to (i) duly complete and execute an IRS Form W-8BEN or an IRS Form W-8BEN-E (or any successor form of the foregoing) and certify under penalties of perjury that such holder is not a U.S. person and is eligible for the benefits of the applicable tax treaty or (ii) if our common stock is held through certain foreign intermediaries, satisfy the relevant certification requirements of applicable Treasury regulations. These forms may need to be periodically updated.

A non-U.S. holder eligible for a reduced rate of withholding of U.S. federal income tax pursuant to an income tax treaty may be able to obtain a refund of any excess amounts withheld by timely filing an appropriate claim for refund with the IRS. Dividends that are effectively connected with a non-U.S. holder’s conduct of a trade or business in the United States (and, if required by an applicable income tax treaty, attributable to a permanent establishment or fixed base maintained by the non-U.S. holder in the United States) generally are subject to U.S. federal income tax on a net income basis at the U.S. federal income tax rates generally applicable to a U.S. person and are not subject to withholding of U.S. federal income tax, provided that the non-U.S. holder establishes an exemption from such withholding by complying with certain certification and disclosure requirements (generally by providing a duly completed and executed IRS Form W-8ECI (or any successor form thereof)).

Any such effectively connected dividends (and, if required, dividends attributable to a U.S. permanent establishment or fixed base) received by a non-U.S. holder that is treated as a foreign corporation for U.S. federal income tax purposes may be subject to an additional branch profits tax at a 30% rate, or such lower rate as may be specified by an applicable income tax treaty.

Sale or Other Taxable Disposition

Subject to the summary below regarding backup withholding and FATCA, any gain recognized by a non-U.S. holder on a sale or other taxable disposition of our common stock generally will not be subject to U.S. federal income tax, unless:

Any gain of a non-U.S. holder that is treated as a foreign corporation for U.S. federal income tax purposes that is described in clause (i) above may also be subject to an additional branch profits tax at a 30% rate, or such lower rate as may be specified by an applicable income tax treaty.

An individual non-U.S. holder that is described in clause (ii) above generally will be subject to a flat 30% tax (or a lower applicable tax treaty rate) on the U.S. source capital gain derived from the disposition, which may be offset by U.S. source capital losses during the taxable year of the disposition.

With respect to clause (iii) above, a U.S. corporation generally is a USRPHC if the fair market value of its U.S. real property interests equals or exceeds 50% of the sum of the fair market value of its worldwide real property interests plus its other assets used or held for use in a trade or business. Based on the nature of our business and the assets that we own, we expect that we currently are a USRPHC. Assuming we are a USRPHC, subject to the next sentence, a non-U.S. holder generally will be taxed on gain recognized on the sale, exchange or other taxable disposition of our common stock in the same manner as if such non-U.S. holder were a United States person and a 15% withholding tax may apply to the gross proceeds from the sale, exchange or other taxable disposition of our common stock (including a redemption treated as a sale or exchange for U.S. federal income tax purposes or a distribution treated as a return of capital, as described under “—Distributions on Common Stock” above). A non-U.S. holder generally will not be subject to U.S. net federal income tax as a result of our being a USRPHC upon the disposition of our common stock as long as our common stock is regularly traded and such non-U.S. holder holds 5% or less of our common stock throughout the shorter of the five-year period ending on the date of the sale or other taxable disposition or the non-U.S. holder’s holding period. Our common stock is currently listed on the NYSE and, although no assurance can be given, we expect that, for as long as our common stock continues to be so listed, the common stock will be treated as “regularly traded on an established securities market.”

Non-U.S. holders are urged to consult their own tax advisors regarding the potential applicability of these rules, as well as any income tax treaty in their particular circumstances.

Information Reporting and Backup Withholding

We generally must report annually to the IRS and to each non-U.S. holder of our common stock the amount of dividends paid to such holder on our common stock, the tax, if any, withheld with respect to those dividends, and such holder’s name and address. Copies of the information returns reporting those dividends and withholding taxes may also be made available to the tax authorities in the country in which the non-U.S. holder is a resident under the provisions of an applicable income tax treaty or agreement. Information reporting also is generally required with respect to the proceeds from sales and other dispositions of our common stock to or through the U.S. office (and, in certain cases, the foreign office) of a broker, unless the non-U.S. holder establishes that it is not a U.S. person.

FATCA

Sections 1471 through 1474 of the Code and Treasury regulations thereunder, commonly referred to as “FATCA,” generally impose a U.S. federal withholding tax of 30% on certain types of payments, including payments of U.S.-source dividends such as dividends, if any, paid on our common stock made to (i) “foreign financial institutions” (including, in some cases, when such foreign financial institution is acting as an intermediary) unless they agree to collect and disclose to the IRS information regarding their direct and indirect U.S. account holders and (ii) certain non-financial foreign entities (including, in some cases, when such non-financial foreign entity is acting as an intermediary) unless they certify certain information regarding their direct and indirect U.S. owners. THE COMPANY

We are an independent energy company engaged in the acquisition, exploration, development and production of oil and natural gas properties in the United States, primarily in the Williston Basin, the Appalachian Basin and the Permian Basin. We believe the location, size and concentration of our acreage positions in some of North America’s leading unconventional oil and gas resource plays provide us with drilling and development opportunities that will result in significant long-term value.

Our primary focus is investing in non-operated minority working and mineral interests in oil and gas properties, with a core area of focus in three premier basins within the United States. As a non-operator, we are able to diversify our investment exposure by participating in a large number of gross wells, as well as entering into additional project areas by partnering with numerous experienced operating partners or pursuing value enhancing acquisitions. In addition, because we can generally elect to participate on a well by well basis, we believe we have increased flexibility in the timing and amount of our capital expenditures because we are not burdened with various contractual arrangements with respect to minimum drilling obligations. Further, we are able to avoid exploratory and infrastructure costs incurred by many oil and gas producers.

We seek to create value through strategic acquisitions and partnering with operators who have significant experience in developing and producing hydrocarbons in our core areas. We have more than 95 experienced operating partners that provide technical insights and opportunities for acquisitions. Prior to 2020, we focused our operations exclusively on oil-weighted properties in the Williston Basin. Our Bylaws provide that a special meeting of stockholders may be called only by a majority of our Board.

Anti-Takeover Provisions of the Delaware General Corporation Law

As a Delaware corporation, we are subject to Section 203 of the DGCL. This provision provides that a corporation that is listed on a national securities exchange or that has more than 2,000 stockholders is not permitted to engage in a business combination with any interested stockholder, generally a person who owns 15% or more of the outstanding shares of a corporation’s voting stock, for three years after the person became an interested stockholder, unless:
