Taylor Madison Signs Definitive Agreement to Buy Controlling Interest in French

Taylor Madison Corp. Closed on Its Previously Announced Intention to Buy 51% Of
Fragex 


AVENTURA, Fla., March 29  /PRNewswire-FirstCall/ -- Nimbus Group Inc. d/b/a
Taylor Madison Corp.  today announced the signing of a definitive agreement with
Royaume Du Parfums International (RPI) for the acquisition of French developer
of cosmetics and fragrances, Fragex SARL.

The definitive agreement has been approvedby the boards of directors of both
Fragex and Taylor Madison, and follows the letter of intent signed by the two
companies on January 27, 2004.

Under the terms of the agreement, 51% of existing shares of Fragex stock will be
exchanged for up to 1.155 million shares of Nimbus' restricted common stock.

In addition, Taylor Madison has secured an option to purchase the remainder 49%
from Fragex' principals, at anytime, for a predetermined price of US$1.5 million
in cash or 1.5 million shares of common stock of Taylor Madison. The option can
be exercised when the stock of Taylor Madison trades for at least $1.50 for 3
days prior to exercising the latter option.
