Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) As disclosed in the Company’s Current Report on Form 8-K filed on January 13, 2022, the board of directors (the “Board”) appointed Mr. Michael Andrew Barclay Binney, to serve as the Company’s Chief Operating Officer, effective as of January 16, 2022.

In connection with his appointment as Chief Operating Officer, Emerson Radio (Hong Kong) Limited has entered into an executive employment agreement with Mr. Binney, pursuant to which Mr. Binney agreed to serve as the Chief Operating Officer of the Company. Mr. Binney will be paid a base salary of $195,000 per year. The foregoing description of the employment agreement is intended to be a summary and is qualified in its entirety by reference to such agreement, which is attached as Exhibit 10.1 and incorporated by reference as if fully set forth herein.
