Regulation FD Disclosure
 
 We are furnishing as an exhibit to this report two slides to an investor presentation that was initially included in Exhibit 99.2 to our current report on Form 8-K dated July 19, 2007 and, as amended, in Exhibit 99.1 to our current report on Form 8-K dated November 28, 2007 (“Amendment No. 1”).  The investor presentation describes our proposed purchase of a minority equity interest in the SMC Group.  The first slide, slide 22, replaces the corresponding slide contained in Amendment No. 1.  The second slide, slide 22-a, includes additional disclosure on the key assumptions underlying the projected financial results for the SMC Group.  More specifically, the slides amend Amendment No. 1 as follows:

Revised slide 22 has been amended to clarify that the projected financial results for the SMC Group are presented on a combined basis in accordance with accounting principles generally accepted in the United States (U.S. GAAP) and to include additional information on the projected financial results for the SMC Group.

New slide 22-a contains additional disclosure on the assumptions underlying the projected financial results.  The assumptions were previously included on slide 22.
