ITEM 8.01         OTHER EVENTS.

On August 20, 2009, Santa Monica Media Corporation (the “Company”) issued the attached press release to correct a typographical error in the definitive proxy statement mailed to stockholders.

The stockholders’ meeting date was correctly stated as August 27, 2009, however that day falls on Thursday rather than Friday as stated in the definitive proxy and in the related press release issued on August 5, 2009.
